Key points
In short: Please read these points before you accept. They limit what we are responsible for, and they are the reason we can keep our prices low.
- Accepting: whoever accepts these terms confirms they are allowed to accept them for the business that owns the store. If they weren’t, they are responsible to us personally, and your continued use of the app confirms the acceptance. See Accepting these terms.
- Business use only: our apps are for businesses, not consumers. See Accepting these terms.
- You check what our apps set up: you are responsible for checking and testing everything our apps create or change in your store, such as settings, content and discounts, using Shopify’s own tools, before you rely on it. Our checks and warnings help, but they don’t replace yours. See Your responsibilities and each app’s terms page, such as the Discount Magic terms.
- We depend on Shopify: our apps work through Shopify and the integrations you connect. If they have an outage or a problem, our apps may be affected, and we are not responsible for that. See How our apps depend on Shopify and integrations.
- Large volumes take time, and we share capacity fairly: big imports, migrations and bulk jobs can take hours to process at the pace Shopify allows. We may slow down or limit processing for a store whose volume affects other merchants. See Data volumes and processing times and Fair use.
- Our liability is limited: we don’t pay for lost profits or sales, the value of discounts your customers use, or other losses listed in Losses we are not responsible for. Otherwise our total liability is limited to the fees you paid us in the 12 months before the problem. See Our liability.
- Free plans and trials: if you paid us nothing in those 12 months, our liability is zero. See Free plans and trials.
- Time limit: you must bring any claim within 12 months of when you knew, or should have known, about it. See Time limit for claims.
- Changes: we give at least 30 days’ notice of material changes to these terms, and at least 30 days’ notice of price increases. See Changes to these terms.
About these terms
In short: These terms are the agreement between your business and us for every Commit & Push app you install. Each app has its own page that adds to them.
Commit & Push is Commit & Push Ltd, a company registered in England and Wales (company number 17515624) with its registered office at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom. In these terms, “we”, “us” and “our” mean Commit & Push Ltd (company number 17515624), trading as Commit & Push. “You” and “your” mean the business that owns the Shopify store in which one of our apps is installed (the “merchant”). “App” means any Shopify app we publish, including its features, websites, help pages and support.
The agreement between you and us is made up of:
- these terms;
- the terms page for each app you install, such as the Discount Magic terms, which adds details for that app;
- our Data Processing Addendum, which applies when an app processes personal data about your customers for you; and
- the plan you choose, as shown on the app’s Shopify App Store listing and in the app.
Which document wins
If these documents conflict or say different things, they apply in this order:
- the Data Processing Addendum, for personal data about your customers;
- an app’s terms page, for that app;
- these terms;
- the plan details.
This agreement takes precedence over anything else about our apps, whether written or said, before or after you accept it. That includes our websites, help pages, App Store listings, marketing, emails and support conversations, which describe our apps but don’t change this agreement. It also includes any terms you send us, such as purchase order or supplier terms: they don’t apply, even if we don’t object to them or carry on providing our apps. This agreement can only be changed as set out in Changes to these terms, or in a written agreement signed by both of us.
Our privacy policy explains how we handle personal data about you and your staff; it is information for you, not part of this agreement.
Your use of Shopify is governed by your own agreement with Shopify. These terms don’t change it.
Accepting these terms
In short: The person who accepts must be allowed to accept for your business. Your business is responsible for everyone it lets use our apps.
- You accept these terms when someone accepts them in the app, or by installing or using an app if it doesn’t ask. Our apps ask for acceptance before they start syncing your store’s data.
- Business use only. Our apps are provided only for business use. By accepting, you confirm that you use them for the purposes of your trade, business, craft or profession, and not as a consumer.
- Authority. The person who accepts these terms confirms that they are the merchant, or are authorised by the merchant to accept these terms and bind it to them. This applies whether they are the store owner, a member of staff, or an agency, freelancer or other collaborator working on the store.
- If they weren’t authorised. If the person who accepted was not authorised to bind the merchant, they promise to us personally that they were, and are responsible to us for the merchant’s obligations under these terms as if they had accepted them for themselves.
- Confirmation by use. If the merchant, or anyone acting for it, keeps an app installed or keeps using it after acceptance, the merchant confirms the acceptance and is bound by these terms from the date they were first accepted, whoever accepted them.
- Your users. You are responsible for everyone you let use our apps, including staff, agencies, freelancers and contractors, and for their compliance with these terms, as if they were you. They don’t need to accept these terms separately.
- Our record. We keep a record of each acceptance: the store, the staff account that accepted and its role, the version of the terms, the wording they agreed to, and the date and time. Our privacy policy explains how long we keep it.
Shopify and these terms
In short: We are responsible for our apps, not Shopify.
Shopify requires us to tell you that:
- we are solely responsible for our apps;
- Shopify is not liable for any fault in our apps or any harm that may result from installing or using them;
- except where Shopify expressly says otherwise, Shopify cannot provide assistance with installing or using our apps; and
- we are solely responsible for any liability which may arise from your access to or use of our apps, including (a) the development, use, marketing or distribution of, or access to, our apps, including support of them; and (b) our access to, use, distribution or storage of Merchant Data.
These statements describe who is responsible as between you, Shopify and us. They don’t increase our liability to you, which is limited as set out in Our liability.
Nothing in these terms requires you to use our apps exclusively after this agreement ends, stops you developing competing products or services (except by misusing our confidential information), or restricts how you run your business or who you do business with.
Using our apps
In short: You may use our apps for your own stores while they are installed. Don’t misuse them.
While an app is installed in your store and you comply with these terms, we give you a non-exclusive, non-transferable right to use it for your own business. We own our apps and everything in them, other than your data.
Acceptable use
You must not, and must not let anyone else:
- use our apps unlawfully, to mislead or defraud anyone, or to run promotions that break the law or Shopify’s Acceptable Use Policy;
- copy, modify, reverse engineer or decompile our apps, except where the law allows it and only to the extent it allows;
- resell, sublicense or provide our apps to others as a service;
- use our apps to build a competing product, or scrape or extract data from them other than through their export features;
- interfere with our apps’ security or operation, or overload them or Shopify’s systems, for example by automated requests outside the app’s normal features; or
- upload anything harmful, such as malware, or anything you have no right to use.
Your responsibilities
In short: You decide what happens in your store, so you check it, you comply with the law, and you protect your own business.
- Your store and your promotions. You decide what our apps do in your store, such as which discounts to create, their values, limits, dates and who receives them. You are responsible for those decisions and for your promotions’ compliance with the law, including consumer, pricing, marketing and data protection law, and with Shopify’s policies.
- Checking and testing. You are responsible for checking and testing everything our apps create or change in your store before you rely on it, independently of our apps, using the tools Shopify gives you. Each app’s terms page says more. Any checks, previews or warnings in our apps are there to help you; they don’t replace your own checks, and you should not rely on them alone.
- Protecting your business. You are responsible for protecting your business against losses from discounts or prices that are wrong, whatever the cause, including errors in our apps. You should make sure your own terms of sale let you cancel or refuse orders placed with a wrong discount or price, and decide whether to insure against those losses. This is part of how risk is shared under these terms, and it is reflected in our prices.
- Your accounts. You are responsible for the security of your Shopify account and of any accounts you connect to our apps, and for who in your business can use them.
- Your customers. You are responsible for your relationship with your customers. Your privacy policy must tell them you use apps like ours to run your store; each app’s privacy page includes text you can use.
- Information you give us. Information you give us must be accurate, and you must keep the email address in your Shopify account up to date, because that is where we send notices.
Plans, billing and refunds
In short: Shopify bills you for our apps. We give at least 30 days’ notice of price increases. Refunds are at our discretion, except where these terms promise one.
- Plans and prices. Each app’s plans, prices and any free trial are shown on its Shopify App Store listing and in the app. Prices exclude taxes, which Shopify adds where they apply.
- Billing through Shopify. Shopify charges you for our apps on our behalf, under Shopify’s billing terms, and you approve each charge in Shopify. We never invoice you directly or ask for card or bank details. If you receive an invoice that claims to be from us, don’t pay it; forward it to contact@commitandpush.io.
- Free trials. When a free trial ends, the paid plan you chose starts and Shopify bills you, unless you uninstall the app or change to a free plan first.
- Price increases. We will give you at least 30 days’ notice by email and in the app before a price increase applies to you. Shopify will also ask you to approve the new charge. If you don’t want to pay it, you can change plan or uninstall before it applies.
- Refunds. Fees are not refundable, except that we will refund fees you paid in advance for the period after the app stops: if the law requires it; if we end this agreement for convenience, or stop providing the app; or if you stop using an app because you objected to a new sub-processor under the Data Processing Addendum. We may give other refunds at our discretion, through Shopify. This doesn’t affect any rights you have by law.
Changes to our apps
In short: We keep improving our apps, so features change. We won’t take core features away from a paid plan mid-period without notice.
- We may change, add or remove features, and change or withdraw free plans, to improve our apps, keep them secure, or respond to changes by Shopify or in the law.
- We will not materially reduce the core features of a paid plan during a billing period you have paid for, unless Shopify, a supplier or the law forces it, and we will give you as much notice as we reasonably can.
- Beta features. Features we label as beta, preview or early access are provided as they are, may change or stop at any time, and are excluded from any commitment about availability or support.
- AI features. If an app offers a feature that uses artificial intelligence, such as an assistant, its output may be inaccurate or incomplete. Check it before you rely on it or act on it. We never use your data or your customers’ data to train AI models, as our privacy policy explains.
Support and availability
In short: We aim to keep our apps running and to help when something goes wrong, but we don’t promise uninterrupted service.
We aim to keep our apps available and to answer support requests within 2 working days. We don’t promise that our apps will always be available or that support will meet a particular response time, and we don’t give service credits. We may pause an app briefly for maintenance, and will try to do so at quiet times.
If you need us to look at your store to help you, we ask for access through Shopify, as described in our privacy policy.
Data volumes and processing times
Our apps are designed for the amount of data and activity a store normally has. Most work happens in the background, at the pace Shopify allows, because Shopify limits how many requests an app can make. So:
- Large or sudden changes to your store can take time to reach our apps. For example, when you import or migrate a large number of products, customers, orders or discounts, change many of them at once, or install an app on a store with a long history, our apps may take hours or, for very large stores, longer to catch up. Until then, some information in our apps may be missing or out of date.
- Large jobs, such as creating many discounts or codes at once, also take time, and the app shows their progress where it can.
- Each app’s plans may set limits, as shown on its listing and in the app.
- These delays are a normal part of how our apps work with Shopify, not a fault. Before you rely on information in our apps after a large import or change, give them time to catch up, and check the result in Shopify.
Fair use
Our apps share systems, and Shopify’s request limits, across all the merchants who use them. To keep them reliable for everyone:
- We may queue, slow down, limit or pause processing for a store, or limit features for it, if its volume of data or activity is unusually high, or is affecting our apps’ performance or reliability for other merchants. We will do this only as far as needed, and lift it once the problem is resolved.
- Where we can, we will tell you before we do this, or as soon as possible afterwards, explain why, and work with you on a solution, such as spreading a large job over time or moving to a plan that suits your volume.
- If the problem continues and we can’t find a solution with you, we may end this agreement for that app by giving you at least 30 days’ notice, and refund fees you paid in advance for the period after it ends.
Software errors
In short: We build our apps with care, but software can have bugs. We don’t promise there will be none.
Software can contain errors. We use reasonable care and skill to build and run our apps, including code review and automated testing, but we don’t promise that they will be free of errors, always available, or suitable for your particular needs. Except as set out in these terms, our apps are provided as they are, and all other warranties, conditions and terms, whether implied by law or otherwise, are excluded as far as the law allows.
Security
In short: We protect our apps and your data, but no system is perfectly secure. You protect your own accounts and codes.
We protect our apps and your data with appropriate technical and organisational measures, described in our Data Processing Addendum and privacy policy. No system can be made completely secure, and we don’t guarantee that our apps or your data will never be accessed without authorisation.
You are responsible for the security of your Shopify account, for who in your business has access to it and to our apps, and for keeping discount codes and other content confidential until you mean to share it. We are not responsible for losses caused by unauthorised access through your own systems, staff, collaborators or accounts, or by codes that you, your staff or your customers share.
Suppliers and services outside our control
In short: We choose our suppliers carefully. We are not responsible for Shopify or for services you choose to connect.
We choose our suppliers carefully for their reliability and security, and bind those that handle your data to written data protection terms.
How our apps depend on Shopify and integrations
Our apps are built on Shopify. They read and change your store only through Shopify’s APIs and notifications, and the discounts they create are stored and applied by Shopify. Integrations such as Klaviyo work through that provider’s own systems. This means:
- If Shopify or an integration has an outage, slowdown or error, or limits how many requests our apps can make, our apps may stop working, work slowly, or show information that is out of date. For example, discounts or codes may take longer to create or fail to create, changes may take longer to appear in your store, or codes may not reach an integration.
- Shopify or an integration may change, limit or withdraw the features our apps rely on, or change how they work. We may then have to change or remove a feature of our apps, as Changes to our apps describes.
- If Shopify suspends or removes one of our apps, or limits or ends our access to its platform, the app may stop working in whole or in part. We will work with Shopify to restore it, but how long that takes depends on Shopify. We will keep you informed, and you can uninstall the app at any time if you’d rather not wait. If we can’t restore the app within 60 days, or we decide it can’t be restored, we may stop providing it; we will then refund fees you paid in advance for the period after it stopped working.
When this happens, we will retry where we can, tell you in the app when we know about a problem, and help you understand what was affected. You can check whether Shopify itself is having problems on Shopify’s status page.
What we are not responsible for
We are not responsible for:
- Shopify itself, including its admin, checkout, APIs, notifications and discount features, its outages, errors, delays and request limits, or changes Shopify makes to them;
- apps, integrations and services you choose to use or connect, such as Klaviyo, including their outages, errors and changes, even where our app works with them;
- delays or failures caused by events beyond our reasonable control, including outages at our hosting and infrastructure providers, provided we take reasonable steps to limit their effect; or
- losses caused by any of these, including discounts that apply late, apply wrongly or don’t apply because of them.
Problems caused by Shopify or an integration don’t entitle you to a refund or credit from us. This doesn’t reduce our responsibility for our sub-processors under the Data Processing Addendum.
Your data
In short: Your data stays yours. We use it only to provide our apps to you.
You own the data you and your store provide to our apps, and the discount codes and other content you create with them (“your data”). You allow us to use your data to provide, secure, support and fix our apps for you, as described in our privacy policy and Data Processing Addendum. We never sell your data, and never use it to train AI models.
If you send us ideas or suggestions about our apps, we may use them freely without paying you or naming you.
Data protection
In short: Our Data Processing Addendum covers your customers’ data automatically.
For personal data about your customers, you are the controller and we are your processor. Our Data Processing Addendum forms part of this agreement and applies automatically. You must have a lawful basis for the personal data you ask our apps to process, and give your customers the information the law requires.
Exporting your data and switching
In short: You can take your data with you at any time, free of charge. Export it before you uninstall, because Shopify then asks us to erase it.
These rights apply to every merchant, and are designed to meet the EU Data Act’s rules on switching between data processing services.
- Export at any time. While an app is installed, you can export your data from it free of charge. Each app’s terms page lists the data you can export and how. For anything you can’t export in the app, email contact@commitandpush.io and we will send it in a structured, commonly used, machine-readable format, such as CSV or JSON, within 30 days.
- Switching. You can ask us, while the app is installed, to help you move your data to another provider or to your own systems. There is no notice period: you can ask at any time. After your request, we will keep the app working for up to 30 days while you move (the transitional period), give you reasonable help, and tell you about any known risks to continuity. Your data stays available for export for at least 30 days after that (the retrieval period). If a switch is technically impossible within 30 days, we will tell you within 14 days of your request, explain why, and give you an alternative period of up to 7 months. You may extend the transitional period once, by telling us.
- What our help covers. Our help means giving you your data in a documented, machine-readable format, explaining what it contains, and answering reasonable questions about it. We are not responsible for whether another provider can import or use it, or for limits Shopify places on how other apps can see or manage what our app created, such as discounts that only the app that created them can change. Discounts our apps create are stored in your Shopify store, so they stay there after you switch, subject to Shopify’s rules.
- Charges. We don’t charge for exporting your data or for switching. While the app keeps working during the transitional period, or any extension or alternative period, your plan’s normal fees continue to apply.
- Ending and erasure. At the end of this process you can choose to switch to another provider, move to your own systems, or have your data erased. The agreement for that app ends when the switch is complete, or when you choose erasure. When the retrieval period ends, we erase all exportable data from that app, unless you asked us to erase it sooner.
- Uninstalling. Uninstalling an app ends its access to your store immediately, and Shopify then asks us to erase your store’s data, which we must do. Uninstalling therefore counts as your choice to end the agreement for that app and have your data erased, as our privacy policy describes. Export anything you need first, or keep the app installed until you have.
Where our infrastructure is
Our apps run on infrastructure in the United States, as described in Where your data is. We protect your data, including data that isn’t personal, against unlawful access by governments outside the UK and the EU in the way our Data Processing Addendum describes for requests from public authorities: we disclose data only where the law requires it, check and where appropriate challenge each request, disclose the minimum, and tell you first unless the law forbids it.
Publicity
In short: We may name you as a customer and show your logo. Tell us if you’d rather we didn’t.
- You allow us to use your business name and logo to identify you as a customer on our websites, in our apps and in our marketing, including social media and ads, without suggesting that you endorse us. We take your name and logo from your public website or from you, never from the data our apps read from Shopify.
- You can ask us to stop at any time, including before we ever use them, by emailing privacy@commitandpush.io. We will stop and remove them within 30 days.
- We may quote reviews you publish on the Shopify App Store, attributed to your store name as shown there, and will remove a quote within 30 days if you ask.
- We only publish case studies about you, or use the name or photo of anyone at your business, with your specific permission each time.
Confidentiality
Each of us will keep confidential any non-public information the other shares about its business, use it only for this agreement, and share it only with people who need it for that purpose and are bound to keep it confidential. This doesn’t apply to information that is public, already known to the recipient, independently developed, or that the law requires to be disclosed.
Our liability
In short: We are not responsible for losses you could have prevented by checking your store, or for lost profits and sales. Otherwise our total liability is the fees you paid us in the last 12 months, and nothing on a free plan or trial. Each clause below stands on its own.
Each numbered clause in this section is a separate and independent term, and so is each loss listed in it. If a court or other authority decides that any of them is unreasonable, invalid or can’t be enforced, in general or for a particular claim, the others still apply in full.
What we don’t limit
- Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that the law doesn’t allow to be limited or excluded. For merchants in the European Union, this includes liability that the EU Data Act doesn’t allow to be limited or excluded.
Losses we are not responsible for
- We are not liable for any indirect or consequential loss, whether or not it was foreseeable.
- We are not liable for any loss of profit, revenue, sales, business, contracts, goodwill or anticipated savings, or for wasted management or staff time.
- We are not liable for the value of discounts your customers use, for goods or services sold at a discount or given away, for refunds, chargebacks or payment fees, or for the cost of honouring, cancelling or dealing with orders and customers, whatever caused the discount to apply.
- We are not liable for losses caused by discount codes or other content being shared, leaked, guessed, combined or used fraudulently, unless that was caused by our failure to protect our apps as these terms require.
- We are not liable for losses that happen after you knew, or should reasonably have known, about a problem and could have stopped it, for example by deactivating a discount in Shopify.
- We are not liable for losses caused by changes that you, your users, Shopify or other apps make in your store, or by your failure to check and test your store as these terms require.
- We are not liable for loss or corruption of data, except to the extent caused by our breach of the Data Processing Addendum. The original data for your store is held by Shopify.
Our total liability
- Subject to clause 1, our total liability to you for all claims arising out of or in connection with this agreement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total fees you paid us for our apps in the 12 months before the event that gave rise to the first claim.
Free plans and trials
- Subject to clause 1, if you paid us nothing in those 12 months, for example because you used only free plans or free trials, our total liability to you is zero. We provide free plans and trials without charge so that merchants can use and evaluate our apps, and we could not offer them free of charge if we took on liability for them.
Time limit for claims
- Subject to clause 1, you must start legal proceedings about any claim within 12 months of the date you became aware, or should reasonably have become aware, of the facts giving rise to it. After that the claim is barred. Time spent in our complaints process, including any mediation, is added to this period.
Why these limits are fair
- Our prices are low, and they reflect these limits. You control what our apps do in your store, and you can check and test it, and stop it, with Shopify’s own tools. You can also protect your business through your own terms of sale and insurance. We set out these reasons so that the limits can be understood and assessed fairly.
Your indemnity
In short: If someone claims against us because of how you used our apps, you cover our costs.
You will compensate us for any losses, damages, costs (including reasonable legal costs) and fines arising from a claim by a third party, including your customers or a regulator, that arises from:
- the discounts, promotions and other content you create, distribute or run using our apps;
- your dealings with your customers, including orders, pricing, refunds and their personal data;
- your breach of the law, of Shopify’s terms or policies, or of these terms; or
- anything done by the people you let use our apps.
We will tell you promptly about any such claim, let you take reasonable part in defending it, and not settle it without consulting you.
Suspension and ending this agreement
In short: You can leave at any time by uninstalling. On a paid plan, we give 30 days’ notice if we end things without a reason. We can end free use, or use by a competitor, straight away, and suspend any store straight away if we reasonably suspect abuse or another serious problem.
-
You can end this agreement for an app at any time by uninstalling it. See Exporting your data and switching first.
-
We can end this agreement for an app, or stop providing an app, by giving you at least 30 days’ notice. We will refund fees you paid in advance for the period after it ends.
-
Free plans and trials. If you use an app only on a free plan or a free trial, we can end your use of it at any time, at our discretion, with immediate effect.
-
Competitors. We can refuse to provide an app, or end this agreement for it with immediate effect, if we reasonably believe that you, or anyone acting for you, develops or provides a product or service that competes with it, or uses it to research, copy or benchmark it. We will refund fees you paid in advance for the period after it ends. This doesn’t restrict you from developing your own products or services; it means only that we don’t have to provide our apps to you.
-
Your data afterwards. If we end this agreement under clause 3 or 4, you can still ask us for an export of your data, as Exporting your data and switching describes, for 30 days afterwards.
-
Suspension. We can suspend your access to an app, or to part of it, immediately and without notice, if we reasonably suspect that:
- you or your users are abusing an app, using it fraudulently or unlawfully, or breaking these terms in a serious way;
- you are not using it for genuine purposes of your own business;
- your use threatens the security or operation of our apps, Shopify or other merchants, or is affecting our apps’ service to other merchants (for high volumes, we follow Fair use where there is time);
- clause 4 (competitors) applies;
- Shopify asks us to, or your Shopify account is suspended or ends;
- a charge for the app is not paid; or
- the law, a court or a regulator requires it.
We will tell you that we have suspended your access, and why, as soon as we reasonably can, unless the law or a security risk prevents it. We will lift the suspension once the problem is resolved. If it isn’t resolved within 14 days of our notice, we may end this agreement for that app. If we suspend a paid plan and it turns out that none of these reasons applied, we will refund the fees for the period of the suspension.
-
When this agreement ends for an app, your right to use it ends. Subject to the retrieval period in Exporting your data and switching, we delete your data as our privacy policy describes. Clauses that by their nature should continue, such as those on liability, indemnity, confidentiality, publicity and disputes, continue to apply.
Changes to these terms
In short: We give at least 30 days’ notice of material changes, by email and in the app. If you don’t agree, you can uninstall before they apply.
- We may change these terms, for example to reflect changes in our apps, in Shopify or in the law. The date and version at the top show when they last changed.
- A material change is one that reduces your rights or increases your obligations, our fees or our protection under these terms. We will tell you about a material change by email to your store’s account email and by a notice in the app at least 30 days before it applies.
- We will tell you about other changes at least 14 days before they apply.
- A change may apply sooner, with notice as soon as we reasonably can, if the law, a court, a regulator or Shopify requires it, if it is needed urgently to protect the security of our apps or prevent fraud or abuse, or if it doesn’t disadvantage you, such as a clarification or a new feature.
- If you keep using the app after a change applies, you accept it. If you don’t agree, you can uninstall the app before then. For a fundamental change, we will ask you to accept the new terms in the app.
Complaints and disputes
In short: Tell us first and we’ll try to put it right. If we can’t agree, we’ll consider mediation, then the courts of England and Wales decide.
- If you have a complaint or a dispute with us, email contact@commitandpush.io with the details. We will reply within 10 working days, and both of us will try in good faith to resolve it within 30 days of your email.
- If we can’t resolve it in that time, we will both consider in good faith whether mediation could help before either of us goes to court. Mediation is where an independent mediator, for example one appointed by the Centre for Effective Dispute Resolution (CEDR), helps us reach an agreement; it is confidential and not binding unless we both sign a settlement. If we use it, we will share the mediator’s fees equally and each pay our own costs.
- After that, either of us may go to court. Either of us may go to court at any time if it’s urgent, for example to protect confidential information or intellectual property. Claims of up to £10,000 in the courts of England and Wales usually go to the court’s own free mediation service first.
Law and courts
This agreement, and any dispute about it or its formation, including non-contractual disputes, is governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
General
- Entire agreement. This agreement is the whole agreement between you and us about our apps, and replaces any earlier agreements, discussions and statements. You haven’t relied on any statement, promise or description that isn’t in it, such as something said in a support conversation, on our websites or App Store listings, or in our marketing, and you will have no claim based on one. Which document wins explains how this agreement relates to everything else. This doesn’t limit liability for fraud.
- Transfer. We may transfer this agreement to another company, including as part of a sale or reorganisation of our business or of an app, and will tell you if we do. Your rights under it won’t be reduced. You may not transfer it without our written consent.
- Subcontractors. We may use suppliers to provide our apps, and remain responsible for them as these terms describe.
- Others’ rights. Only you and we have rights under this agreement. No one else may enforce it under the Contracts (Rights of Third Parties) Act 1999.
- Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control. If such an event stops an app working for more than 30 days in a row, either of us may end the agreement for that app.
- If part is invalid. Each clause of this agreement, and each part of a clause, is separate. If a court or other authority decides that any of them is invalid, unreasonable or can’t be enforced, it applies with the smallest change needed to make it valid; if that isn’t possible, it is treated as removed. Either way, the rest of this agreement continues to apply.
- No waiver. If we don’t enforce a right straight away, we can still enforce it later.
- Relationship. Nothing in this agreement makes either of us the other’s partner, agent or employee.
- Notices. We send notices to your store’s account email in Shopify, or show them in the app. You send notices to us at contact@commitandpush.io, or by post to 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom. An email notice is received on the next working day after it was sent.
- Language. This agreement is in English. A translation is for information only.
